Introduction 

Welcome to IdeaAlloy. These terms and conditions outline the rules and regulations for the use of our services. By engaging with our services, you agree to comply with and be bound by these terms. If you disagree with any part of these terms, please do not use our services.

Company Information

IdeaAlloy is a training and consulting services provider operated by Marc K. Frechette, Manchester NH 03104.
IdeaAlloy is registered tradename in: 

  • New Hampshire

IdeaAlloy can provide services to the states noted above, as well as the following states which do not require registration as of 30 Dec 2024: 

Alabama, Alaska, Arizona, Delaware, Florida, Hawaii, Kansas, Maryland, Mississippi, Nebraska, Ohio, Wisconsin, and Wyoming. 

In states not included above as registered or exempt, services may still be offered by Marc Frechette as an individual adopting the IdeaAlloy terms below.


Our services include professional development, events planning, on-site workshop facilitation, and remote workshop facilitation.

Services Offered

IdeaAlloy offers a range of services designed to enhance professional skills and organizational effectiveness. Our services include:

  • Professional Development: Customized training programs aimed at improving individual and team performance.

  • Events Planning: Comprehensive planning and coordination of professional events.

  • On-Site Workshop Facilitation: Hands-on workshops conducted at the client's location.

  • Remote Workshop Facilitation: Virtual workshops delivered through online platforms.

Eligibility Requirements

Clients must be within the continental United States to be eligible for our services. This ensures that we can provide the highest level of support and service quality.

Service Usage

here are no specific guidelines on how clients should use our services. However, clients are expected to engage with our services in a manner that is respectful and conducive to achieving the desired outcomes.

Service Limitations

Professional development and workshop participation are limited to the number of participants agreed upon in the contract, estimate, or work order. This ensures that each participant receives adequate attention and support.

Client Responsibilities

Clients must adhere to agreed-upon schedules and participant attendance. If an on-site workshop or professional development service does not include event planning from IdeaAlloy, the client is responsible for ensuring a suitable location is available to conduct the workshop or training. The client is also responsible for purchasing materials required for the training or workshop, including but not limited to flip chart paper, markers, pens, sticky notes, and notebooks. These items can be donated to IdeaAlloy following the event for use with non-profit customers.

Payment and Billing

Service costs are paid with a non-refundable deposit of 25% no less than 2 weeks prior to the event start, with the remaining 75% due on the first day of the event. Overdue payments will incur additional fees per 30 days, not to exceed 5% of the amount due per period. Expenses (such as food, air travel, and car services) are payable within 30 days of the completion of an event. Accepted payment methods include credit card, bank transfer, and other methods as agreed upon in the contract.

Privacy and Data Protection

We have a privacy policy available at IdeaAlloy Privacy Policy. We do not process or handle sensitive information such as patient information. We are committed to protecting the privacy of our clients and ensuring that any personal data collected is used solely for the purpose of providing our services.

Dispute Resolution

Disputes will be handled in the state of New Hampshire. IdeaAlloy is a sole-proprietor organization/trade name of Marc K. Frechette. We prefer to resolve disputes through amicable negotiations. If a resolution cannot be reached, disputes will be settled through arbitration or court proceedings as applicable under New Hampshire law.

Limitation of Liability

IdeaAlloy is not responsible for cancellations or delays due to extreme weather or acts of God. Services are provided "as is" without warranties. No warranty on outcomes of training. We are not liable for any indirect, incidental, or consequential damages arising from the use of our services.

Termination 

Grounds for Termination

IdeaAlloy reserves the right to terminate a client's access to services under the following circumstances:

  • Breach of Terms: If the client violates any of the terms and conditions outlined in this document.

  • Non-Payment: If the client fails to make payments as agreed upon in the contract.

  • Misuse of Services: If the client uses the services in a manner that is harmful, illegal, or disruptive.

  • Client Conduct: If the client's behavior is deemed inappropriate, abusive, or harmful to IdeaAlloy staff or other clients.

Notice of Termination

  • Written Notice: IdeaAlloy will provide written notice to the client specifying the reason for termination. This notice will be sent via email or other agreed-upon communication methods.

  • Immediate Termination: In cases of severe breaches or illegal activities, IdeaAlloy reserves the right to terminate services immediately without prior notice.

Effects of Termination

  • Access Revocation: Upon termination, the client's access to IdeaAlloy services will be revoked immediately.

  • Outstanding Payments: The client is responsible for settling any outstanding payments for services rendered up to the date of termination.

  • Return of Materials: Any materials provided by IdeaAlloy must be returned or destroyed as instructed.

Appeal Process

  • Request for Review: Clients may request a review of the termination decision by submitting a written appeal within 14 days of receiving the termination notice.

  • Review Outcome: IdeaAlloy will review the appeal and provide a written response within 30 days. The decision made after the review will be final.

Reinstatement

  • Conditions for Reinstatement: Clients may be eligible for reinstatement of services if the issues leading to termination are resolved to IdeaAlloy's satisfaction.

  • Reinstatement Fee: A reinstatement fee may apply, and any outstanding payments must be settled before services are reinstated.
